Terms & Conditions

These Terms and Conditions ("Agreement") govern your relationship with Exbodoz, a merchant exporter based in North East India ("we", Exbodoz). By engaging in business with us, you agree to be bound by the following terms.

                                                                                           1. General Business Overview

Exbodoz is an import and export company dedicated to sourcing, promoting, and exporting high-quality goods from the North East region of India to both domestic and international markets.

                                                                                          2. Orders and Quotations

All orders are subject to acceptance by Exbodoz. A quotation provided by us is an invitation to treat, and a binding contract is only formed when we issue a formal written order confirmation. Any terms and conditions on your purchase order that conflict with this Agreement are expressly rejected unless we agree to them in writing. 

 

Please Note:  Bulk orders of more than 100 KG are negotiable but non-refundable unless they fulfill the return policy. For international orders, refunds are not applicable.

                                                                                          3. Pricing and Payment

Pricing: All prices are subject to change without notice. Prices are based on the agreed-upon Incoterms® as specified in our quotation or sales contract. They do not include taxes, duties, customs fees, or other charges unless explicitly stated.

Payment Terms: Payment terms will be specified in the individual sales contract or proforma invoice. We may require a deposit or full payment in advance, depending on the nature of the order and the business relationship.

Late Payments: Failure to make payment by the due date may result in a delay or cancellation of the order, and we reserve the right to charge interest on overdue amounts at a rate of  2% per month.

                                                                                        4. Delivery and Shipping

Incoterms®: The responsibilities for delivery, risk, and costs are defined by the Incoterms® 2020 rules specified in our contract. You are responsible for understanding the obligations of the agreed-upon Incoterms® rule.

Delivery Schedule: Any delivery dates provided are estimates. While we will make every reasonable effort to meet these dates, we are not liable for any delays caused by factors beyond our control, including but not limited to carrier delays, customs clearance, or force majeure events.

Force Majeure: We are not liable for any failure or delay in performance due to events beyond our reasonable control, such as natural disasters, war, terrorism, embargoes, fire, flood, labor disputes, or government acts.

                                                                                        5. Inspection and Acceptance of Goods

Inspection: You must inspect the goods immediately upon receipt.

​

Claims: Any claims for shortages, defects, or non-conforming goods must be submitted in writing within 7 days of delivery. If you fail to do so, the goods will be deemed accepted, and you waive all claims against us.

                                                                                       6. Limitation of Liability

In no event will Exbodoz be liable for any indirect, special, incidental, or consequential damages, including loss of profits, loss of business, or loss of data, arising out of or in connection with the sale of goods. Our total liability for any claim arising from an order is limited to the total price paid for the goods in that order.

                                                                                      7. Governing Law and Dispute Resolution

This Agreement is governed by the laws of India. Any disputes arising from this Agreement will be resolved through arbitration in, e.g., Guwahati, Assam, India, in accordance with the rules of the Indian Arbitration and Conciliation Act, 1996.

                                                                                      8. Intellectual Property

All intellectual property rights, including trademarks and copyrights related to our business and products, are the property of Exbodoz or its suppliers. You agree not to use our intellectual property without our prior written consent.

                                                                                     9. Confidentiality

Both parties agree to keep all non-public business information confidential, including pricing, customer lists, and trade secrets, unless required to disclose by law.

 

                                                                                     10. Amendment

Exbodoz reserves the right to amend these Terms and Conditions at any time. The updated version will be effective upon posting. Your continued business with us after any changes signifies your acceptance of the new terms.
